Welcome to Electric Decisions (“Electric Decisions,” “Company,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Electric Decisions website, platform, applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you should not use the Platform.

1. Our Services

Electric Decisions is an independent commercial energy marketplace and procurement platform that assists businesses in evaluating electricity and natural gas supply options from licensed retail energy suppliers.

We do not generate, transmit, distribute, or sell electricity or natural gas.

Electric Decisions is not a public utility, transmission company, or Retail Electric Provider (“REP”), unless expressly stated otherwise.

The Platform provides:

  • Energy supplier comparisons
  • Commercial pricing requests
  • Energy procurement assistance
  • Contract facilitation
  • Energy consulting
  • Educational resources
  • Related commercial energy services

Availability of suppliers, products, and pricing varies by market.

2. Eligibility

You represent that:

  • You are at least 18 years old.
  • You have authority to act on behalf of the business submitting information.
  • Information provided is accurate and complete.
  • You will keep your information current.

3. No Guarantee of Pricing

Prices displayed, quoted, or estimated on the Platform are for informational purposes only unless expressly stated otherwise.

Energy pricing depends on numerous factors including:

  • Market conditions
  • Utility territory
  • Credit approval
  • Load profile
  • Usage history
  • Contract term
  • Capacity costs
  • Supplier availability

Quotes may change without notice prior to execution of a supplier contract.

Only an executed agreement with a licensed supplier establishes binding pricing.

4. Supplier Contracts

Electric Decisions facilitates introductions between customers and licensed energy suppliers.

All energy supply agreements are entered directly between you and the supplier.

Electric Decisions is not a party to those agreements.

You are solely responsible for reviewing:

  • Contract pricing
  • Fees
  • Term length
  • Renewal provisions
  • Early termination provisions
  • Applicable utility charges
  • Regulatory disclosures

5. Customer Responsibilities

You agree that information submitted through the Platform is truthful and accurate.

You agree not to:

  • Misrepresent your business
  • Submit fraudulent information
  • Attempt unauthorized access
  • Interfere with Platform operations
  • Upload malicious software
  • Violate applicable laws

6. Communications

By submitting your information, you authorize Electric Decisions and its representatives to contact you by:

  • Telephone
  • Email
  • SMS/Text Message
  • Electronic communications

These communications may include:

  • Pricing updates
  • Supplier offers
  • Contract information
  • Customer service
  • Marketing communications

You may opt out of marketing communications at any time.

7. Intellectual Property

All Platform content including:

  • Logos
  • Graphics
  • Website design
  • Software
  • Text
  • Databases
  • Trade names
  • Trademarks

are owned by Electric Decisions or its licensors.

No content may be copied, reproduced, distributed, or modified without written permission.

8. Third-Party Services

The Platform may contain links to third-party websites, suppliers, or service providers.

Electric Decisions is not responsible for:

  • Third-party websites
  • Supplier performance
  • Contract fulfillment
  • Billing
  • Customer service
  • Website content

Your dealings with third parties are solely between you and the applicable provider.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELECTRIC DECISIONS DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • COMPLETENESS
  • AVAILABILITY
  • RELIABILITY

We do not guarantee uninterrupted operation of the Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELECTRIC DECISIONS SHALL NOT BE LIABLE FOR ANY:

  • Lost profits
  • Lost savings
  • Business interruption
  • Loss of revenue
  • Loss of goodwill
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Punitive damages

arising from:

  • Use of the Platform
  • Supplier pricing
  • Energy contracts
  • Market fluctuations
  • Service interruptions
  • Website availability

If liability is established, our total liability shall not exceed one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Electric Decisions and its officers, employees, affiliates, contractors, and partners from claims arising out of:

  • Your use of the Platform
  • Your violation of these Terms
  • Information you submit
  • Your contracts with suppliers

12. Privacy

Use of the Platform is also governed by our Privacy Policy.

By using the Platform, you consent to our collection and processing of information as described in that policy.

13. Electronic Signatures

You agree that electronic signatures, electronic records, and digital communications satisfy legal requirements for written communications where permitted by law.

14. Suspension or Termination

We reserve the right to suspend or terminate access to the Platform for any reason including:

  • Fraud
  • Abuse
  • Security concerns
  • Violation of these Terms
  • Regulatory requirements

15. Regulatory Compliance

Users remain responsible for complying with all applicable federal, state, and local laws governing energy procurement.

Nothing contained on the Platform constitutes legal, accounting, tax, or regulatory advice.

16. Changes to these Terms

We may modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Platform constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Electric Decisions regarding use of the Platform.
